These Terms of Service ("Terms") form a binding agreement between you ("you" or "your") and 47 Signals LLC ("47 Signals," "we," "us," or "our") and govern your access to and use of the website at 47signals.com and any related pages, content, and resources we make available through this site (collectively, the "Site"). Each software product we publish (including Smart Miles and Call Tracker) is governed by its own separate terms of service. These Terms apply only to the Site and not to those products.

We may terminate or suspend your access to the Site at any time, with or without cause and with or without notice, including if we believe you have violated these Terms. Upon termination, your right to use the Site will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Venue

These Terms and any dispute arising out of or related to them or the Site shall be governed by and construed in accordance with the laws of the United States and the state in which 47 Signals LLC is organized, without regard to its conflict-of-law principles. You agree that any legal action or proceeding shall be brought exclusively in the federal or state courts located in that state, and you consent to the personal jurisdiction and venue of those courts.

14. Dispute Resolution

Before filing any formal claim, you agree to first contact us at hello@47signals.com to attempt to resolve the dispute informally. If a dispute is not resolved within thirty (30) days, either party may pursue formal proceedings as permitted by these Terms and applicable law. Any cause of action arising out of or related to the Site must be commenced within one (1) year after the cause of action accrues, except as otherwise required by law.

15. Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations. You represent that you are not located in, under the control of, or a national or resident of any country to which the United States has prohibited transactions, and that you are not on any U.S. government list of prohibited or restricted parties.

If you believe content on the Site infringes your copyright, please send a written notice to hello@47signals.com that includes: (a) a physical or electronic signature of the copyright owner or an authorized agent; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material claimed to be infringing and information sufficient to locate it; (d) your contact information; (e) a statement of good-faith belief that the use is not authorized; and (f) a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the owner.

17. Changes to These Terms

We may revise these Terms from time to time. The "Last updated" date above reflects the most recent revision. Material changes will be highlighted on the Site or communicated through other reasonable means. Continued use of the Site after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Site.

If any provision of these Terms is held to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy and any additional terms agreed to in writing between you and 47 Signals, constitute the entire agreement between you and 47 Signals regarding the Site and supersede any prior or contemporaneous agreements, communications, or proposals on that subject.
